Agreement to These Terms

These Terms and Conditions (these “Terms”) govern your access to and use of the mobile car washing and auto detailing services (the “Services”) offered by Zora Technologies LLC (“Zora,” “we,” “us,” or “our”), including through our website at https://zoraworld.com and our mobile application (collectively, the “Platform”). The terms “you” and “Customer” refer to any person or entity that accesses, browses, books through, or otherwise uses the Platform or the Services.

Please read these Terms carefully before using the Platform or booking the Services. By creating an account, booking a Service, or otherwise accessing or using the Platform, you agree to be bound by these Terms and by any other policies we incorporate by reference. If you do not agree to these Terms, do not use the Platform or the Services.

We may modify these Terms at any time. When we do, we will revise the “Last updated” date above and post the current version on the Platform. Your continued use of the Platform or the Services after changes become effective constitutes acceptance of the revised Terms.

Arbitration and class-action waiver. These Terms contain a binding arbitration provision and a class-action waiver in the section titled “Dispute Resolution.” These provisions affect your legal rights, including your right to bring or participate in a lawsuit in court and your right to a jury trial. Please review them carefully.

1. Eligibility and Accounts

1.1 Eligibility

You must be at least 18 years old and able to form a legally binding contract to book the Services. You may not use the Platform if you are under 13. If you are between 13 and 18 you may use the Platform only with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms.

1.2 Account Registration

When you register or book as a guest, you agree to provide information that is true, accurate, current, and complete, and to keep it updated. We may refuse, suspend, or terminate an account, or refuse current or future use of the Platform, if we believe the information you provided is untrue, inaccurate, outdated, or incomplete, or for any other reason in our sole discretion.

1.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any known or suspected unauthorized use of your account or any other breach of security, and log out at the end of each session. Except as required by law, we are not liable for any loss or damage arising from your failure to safeguard your credentials or from any unauthorized use of your account.

2. The Services

2.1 Description

Zora provides mobile car washing and auto detailing performed at a location you designate within our service area in the Bay Area. Service packages, inclusions, and prices are described on the Platform and are subject to change at our discretion. All such changes will be reflected on the Platform.

2.2 Site Access and Conditions

To perform the Services, you must provide safe and lawful access to the vehicle at the scheduled time and location. By booking, you represent that you own the vehicle or are authorized to arrange for its servicing, and that you have any necessary permission to have the Services performed at the chosen location (for example, a residence, workplace, or parking facility). You are responsible for complying with any rules of the property where the Service is performed. If our technician arrives and the vehicle is not accessible or you are otherwise unreachable, the technician may attempt to contact you using the phone number, email, or other contact information on file, and you consent to receive such calls and messages in connection with your booking.

2.3 Vehicle Preparation and Personal Items

Please remove all personal items, valuables, and trash from the vehicle before your appointment. We are not responsible for personal items left in or on the vehicle during a Service. Our technician may, at their discretion, decline, delay, or modify a Service if the vehicle is excessively soiled, contains biohazards or pet waste, is unsafe to service, or is not reasonably accessible.

2.4 Service Estimates

Arrival windows and the time required to complete a Service are estimates only. A Service that is properly completed in less time than estimated does not entitle you to any refund, credit, or discount.

2.5 Weather

We cannot control the weather and do not offer rain checks. Please check the forecast before booking. We may reschedule a Service if weather or other conditions make it unsafe or impractical to perform, and we will work with you in good faith to find a new time.

3. Booking, Pricing, and Payment

3.1 Pricing and Quotes

Prices, packages, and applicable taxes, surcharges, and fees will be displayed on the Platform before you confirm a booking. The price that applies to your booking is the price quoted on the Platform at the time you confirm that booking.

3.2 Payment Method

Zora is a cashless service. You authorize us to charge the valid debit or credit card or other payment method on file for the Services you book, together with any applicable taxes, surcharges, tips, and fees. Bookings are generally charged upon completion of the Services unless stated otherwise at the time of booking.

3.3 Declined Payments

If your payment method is declined or a charge is reversed, you remain responsible for the full amount due. We may ask you to provide an alternative payment method and may suspend your account or begin collection efforts for unpaid balances. You agree to reimburse the reasonable costs we incur in collecting amounts you owe, to the extent permitted by law.

3.4 Cancellations, Rescheduling, and No-Shows

Cancellation and rescheduling rules, including any applicable fees for late cancellations, last-minute changes, or no-shows, will be displayed on the Platform at the time of booking and may vary by Service or location. By confirming a booking, you agree to the cancellation terms shown to you at that time.

3.5 Tips and Surcharges

Any gratuity is optional and, if added, is paid directly to or for the benefit of the technician. We may apply location-based surcharges, parking or access fees, or similar charges where applicable, which will be disclosed before you confirm the booking where reasonably practicable.

4. Promotions and Referrals

From time to time we may offer promotional codes, credits, gift cards, or a referral program. Unless stated otherwise: credits and coupons cannot be combined; promotions are non-transferable and have no cash value; and we may modify or discontinue any promotion at any time. All gift card sales are final and non-refundable after purchase except where required by law.

If we offer a referral program, you may earn credits by sharing your unique referral link with new customers. To keep referrals fair, you agree not to:

• self-refer using multiple or false names, identities, accounts, or email addresses;
• refer existing Zora customers, including under an alternate email address;
• use spam, unsolicited messaging, public forums, coupon sites, or similar venues to collect referrals;
• permit another person to use your account, or impersonate or provide false information about any person; or
• use your referral link in any way that is disparaging or that portrays Zora in a negative light, or that violates any applicable law or these Terms.

If we determine in our sole discretion that these rules have been violated, we may cancel or rescind accrued credits and disqualify the referring and/or referred customer from current or future offers. We may verify, void, or adjust credits at any time.

5. Acceptable Use

5.1 License

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable permission to access and use the Platform for your own personal, non-commercial purposes. You may not modify, copy, distribute, republish, transmit, display, reproduce, reuse, resell, license, create derivative works from, transfer, or sell any content obtained from the Platform except as expressly permitted. You may not scrape, crawl, deep-link, or use any robot, spider, or automated process to access or monitor the Platform without our prior written consent. All rights not expressly granted are reserved.

5.2 Prohibited Conduct

You agree your use of the Platform is subject to all applicable laws and that you will not:

• use the Platform for any illegal or unauthorized purpose;
• access the Platform using another person's account without their consent;
• infringe any intellectual property or other right of any person;
• use the Platform for commercial activities other than the sanctioned use of the Services;
• attempt to gain unauthorized access to any systems or interfere with anyone's use of the Platform;
• upload or transmit viruses or other harmful files; or
• disrupt or compromise the security of the Platform or any connected systems.

6. User Submissions

The Platform may allow you to post reviews, photos, or other content (“Submissions”). You are responsible for your Submissions and agree not to post anything unlawful, defamatory, deceptive, infringing, hateful, obscene, invasive of privacy, or otherwise objectionable, or that contains viruses or links to commercial sites unrelated to permitted use.

You represent you have the right to provide each Submission. You grant Zora and its affiliates a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to use, copy, modify, display, publish, distribute, reproduce, and create derivative works from your Submissions in any media, including for marketing and promotional purposes, without compensation to you. Zora does not claim ownership of your Submissions and is not obligated to monitor, screen, or retain them. We may remove or edit any Submission at any time, for any reason, in our sole discretion.

7. Communications and Consent

By using the Platform, you consent to receive communications from us by email, text (SMS), push notification, and phone in connection with your account, your bookings, and our Services. We may use automated dialing and prerecorded or text messaging technology to contact you at the numbers you provide. Message and data rates may apply, and message frequency may vary.

Consent to receive marketing or promotional messages is not a condition of purchasing the Services. You may opt out of promotional texts at any time by replying STOP to a message, and may unsubscribe from promotional emails using the link in those emails. You may continue to receive transactional or service-related messages after opting out of promotional messages. If a contact number you gave us is reassigned or no longer yours, you agree to notify us promptly. We may record or monitor customer-service communications where permitted by law and with any required notice or consent.

8. Intellectual Property

“Zora,” the Zora logo, and other Zora names, marks, and logos are trademarks of Zora Technologies LLC. The Platform and its content — including text, graphics, interfaces, logos, page headers, icons, software, and the selection and arrangement thereof — are owned by Zora Technologies LLC or its licensors and are protected by intellectual property laws. You may not use our marks or proprietary content without our prior written consent. Other trademarks appearing on the Platform belong to their respective owners.

9. Third-Party Links and Services

The Platform may contain links to third-party websites or services that we do not control. We are not responsible for their content, accuracy, availability, or practices, and providing a link does not imply our endorsement. Your use of any third-party site or service is at your own risk and subject to that third party's terms and policies. The Platform may also rely on third-party payment processors and service providers; your use of those services may be subject to their separate terms.

10. Disclaimer of Warranties

THE PLATFORM, THE SERVICES, AND ALL CONTENT AND MATERIALS MADE AVAILABLE THROUGH THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZORA DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM COMPUTER VIRUS, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR PERFORMANCE. ZORA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION ON IT IS ACCURATE, COMPLETE, OR CURRENT. BECAUSE SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZORA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR USE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ZORA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO ZORA FOR THE SERVICE GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. YOU AND ZORA AGREE THAT THESE DISCLAIMERS AND LIMITATIONS ARE MATERIAL, BARGAINED-FOR TERMS AND ARE FAIR AND REASONABLE.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for gross negligence, willful misconduct, or personal injury caused by our negligence.

12. Indemnification

You agree to indemnify, defend, and hold harmless Zora and its parents, subsidiaries, affiliates, and their respective officers, directors, employees, and agents from and against any claims, demands, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform or the Services, your Submissions, your violation of these Terms, your violation of any law or third-party right, or any misrepresentation you make to us, including providing false contact or vehicle information.

13. Dispute Resolution; Arbitration; Class Waiver

PLEASE READ THIS SECTION CAREFULLY. It affects your rights and requires that most disputes be resolved through binding individual arbitration rather than in court.

Informal resolution first

Before initiating any formal proceeding, you agree to contact us at legal@zoraworld.com and attempt in good faith to resolve the dispute informally for at least 30 days.

Binding arbitration

Except for qualifying small-claims matters and claims for injunctive relief, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

Class-action waiver

You and Zora agree that each may bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

14. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the “Dispute Resolution” section, you and Zora agree that any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.

15. Termination and Modification

We may modify, suspend, discontinue, or terminate all or part of the Platform or the Services at any time, with or without notice, in our sole discretion. We may also suspend or terminate your account or your access to the Platform if you violate these Terms or for any other reason. Provisions that by their nature should survive termination — including payment obligations, disclaimers, limitations of liability, indemnification, and dispute resolution — will survive.

16. General

Entire agreement

These Terms, together with any policies incorporated by reference, constitute the entire agreement between you and Zora regarding the Platform and the Services, superseding all prior agreements on that subject.

Severability

If any provision of these Terms is found void, invalid, or unenforceable, it will be modified to the minimum extent necessary, or severed, and the remaining provisions will remain in full force and effect.

No waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

Force majeure

Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, weather, civil disturbances, labor actions, utility or telecommunications failures, and similar events.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
